Hotel Franchise Agreements

We are available to counsel you in all aspects of starting a hotel business and hotel franchising, from review of the Uniform Franchise Offering Circular to negotiating a franchise or area development agreement. Our experience with hotel franchise agreements is extensive. Because we draft franchise agreements for hotels, time shares and vacation ownership resorts from scratch we can focusing on the unique requirements of each client. We can help you understand the importance or necessity of a particular franchise agreement clause - areas of protection, insurance, windows for termination - and help you negotiate for or against its details and inclusion.

Hotel Acquisition, Sale and Development

We have handled the purchase and sale of hotels and vacant land throughout the United States, including Florida, Illinois, Louisiana, Oregon, Texas and Virginia. We will be there to represent you from the negotiation of the purchase and sale agreement through the closing, including the preparation and review of loan documents, sales agreements, and the completion of title work.

In addition to assisting you with the real estate aspects of the transaction, we are available to provide counsel and representation regarding business operations, including construction finance and the drafting and negotiation of:

Representative Hotel Construction and Development Experience

  • We negotiated the acquisition of land in Portland, Oregon for the construction and development of the Howard Johnson Plaza-Hotel, as well as the development agreement for the property, a $10 million dollar transaction. Collateral transactions included negotiation of easements, review of title work and documents.
  • We drafted loan agreements and documents for the construction and development of the Park Square Inn located in Lake Buena Vista, Florida.

Hotel Management and Operation

We provide counsel and representation in all business and commercial law aspects of hotel management and operations, from the negotiation of management agreements to employment matters. When negotiating your management agreements, we will focus on issues of termination and transferability, subordination of fees, treatment of accounts and remittances and conformity of the management agreement to loan document provisions. We negotiated numerous management agreements on behalf of Prime Motor Inns, Inc. and its affiliates and can use our broad experience on your behalf.
